These Terms of Service ("Terms") constitute a legally binding agreement between you and Thesylink ("Company", "we", "us", or "our"), the operator of the EduFlow platform ("Platform" or "Service"). By registering for or using EduFlow, you ("User", "you", or "your") agree to be bound by these Terms.
"User" refers to the school, educational institution, its administrators, and any individuals authorized by the school to access the Platform. "EduFlow" refers to the school management platform operated by Thesylink, including all features, tools, and services accessible through the Platform.
To use EduFlow, you must register an account on behalf of a school or educational institution. By registering, you represent and warrant that you are an authorized representative of the institution and have the authority to bind it to these Terms.
Each registration creates one school account with an owner administrator account. All accounts are subject to review and approval by Thesylink before access is granted. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to use EduFlow solely for lawful school administration purposes. You shall not: (a) attempt to gain unauthorized access to any part of the Platform or its related systems; (b) use the Platform to store or transmit malicious code, infringing content, or content that violates the rights of others; (c) reverse engineer, decompile, or disassemble any part of the Platform; (d) use automated scripts to collect information from or interact with the Platform without our express written consent; or (e) use the Platform in any manner that violates applicable laws of the Republic of Ghana or any other jurisdiction.
You are solely responsible for all data entered into the Platform and all activity conducted through your account, including actions taken by users you have authorized.
All data entered by you or your authorized users into EduFlow remains your exclusive property. Thesylink acts solely as a data processor on your behalf and shall not sell, share, sublicense, analyze, or use your data for any purpose beyond providing and operating the EduFlow Service.
You retain full rights to access, export, and delete your data at any time during the term of your account. Thesylink makes no claim of ownership over any data you submit to the Platform.
New accounts begin with a free trial period as specified on the Platform. Following the trial period, continued access requires a paid subscription at the rates displayed on the Platform. All payments are processed through Paystack, a third-party payment processor, and are subject to Paystack's terms of service.
Thesylink reserves the right to modify subscription pricing with a minimum of thirty (30) days advance written notice to you via email. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.
The Platform is provided on an "as-is" and "as-available" basis. Thesylink makes no warranties, express or implied, regarding the availability, reliability, or uninterrupted operation of the Service. We will make commercially reasonable efforts to maintain Platform availability but do not guarantee any specific uptime percentage.
Scheduled maintenance will be communicated in advance when reasonably possible. Thesylink shall not be liable for service interruptions caused by factors beyond our reasonable control, including but not limited to internet outages, power failures, natural disasters, or third-party service disruptions.
Either party may terminate this agreement by providing written notice to the other party. Thesylink may suspend or terminate your access to the Platform immediately if you materially breach these Terms, fail to pay applicable subscription fees, or engage in conduct that threatens the security or integrity of the Platform.
Upon termination, Thesylink will notify you via email and provide a period of ninety (90) days during which you may export or back up all of your data from the Platform. After the expiration of this 90-day period, all of your data will be permanently and irreversibly deleted from our systems. Thesylink shall have no liability for data that is not exported within this period.
EduFlow processes personal data of students, who may include minors under the age of eighteen (18). By using the Platform, you represent and warrant that you have obtained all necessary consents from parents or legal guardians before entering any student personal data into EduFlow, as required by the Data Protection Act, 2012 (Act 843) of Ghana and any other applicable legislation.
You are solely responsible for ensuring compliance with all applicable laws regarding the collection and processing of children's personal data. Thesylink processes student data solely on your instruction and authority as the data controller.
To the maximum extent permitted by applicable law, Thesylink shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Platform.
Thesylink's total aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to Thesylink in the twelve (12) months immediately preceding the event giving rise to the claim. Thesylink shall not be liable for any data loss resulting from your failure to export data within the 90-day post-termination window, nor for failures or disruptions of third-party services including Paystack, SMS providers, or email delivery services.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict of laws principles. Both parties agree to comply with the Data Protection Act, 2012 (Act 843) and all regulations issued by the Data Protection Commission of Ghana.
In the event of any dispute arising from or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the jurisdiction of the courts of the Republic of Ghana.
Thesylink reserves the right to update or modify these Terms at any time. We will provide a minimum of thirty (30) days advance notice of any material changes via email to the address associated with your account. Material changes will be clearly highlighted in the notification. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
